Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Okood platform, including all features, functionality, and content available at okood.app(the "Platform"). By creating an account, clicking "Start Free Trial," or otherwise accessing the Platform, you agree to be bound by these Terms in full.

If you are using Okood on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, you must not use the Platform on that entity's behalf.

If you do not agree to these Terms, you must not use the Platform.

2. Platform Role

Okood is a workflow management platform — not a payment processor, legal advisor, escrow service, or marketplace. Specifically:

  • Not a payment processor between you and your clients: Okood tracks payment records and payment proof uploads as part of your project workflow, but does not handle, hold, transfer, or process the money your clients pay you. Those transactions occur directly between you and your clients via your chosen bank. (Subscription fees you pay to Okood are a separate matter and are processed by Stripe — see Section 4.)
  • Not a legal advisor: Contract templates provided by Okood are professionally written starting points. They are not a substitute for legal advice. For high-value contracts or legally sensitive situations, consult a licensed attorney.
  • Not a party to your contracts: Okood provides the infrastructure for you to create and manage contracts with your clients. Okood is not a signatory or party to any contract you create on the Platform.

You are solely responsible for the legal enforceability of any contract created using Okood in your specific jurisdiction.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old to create an account on Okood. By registering, you confirm that you meet this requirement.

3.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. Providing false or misleading information is a violation of these Terms.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at support@okood.app if you suspect unauthorized access to your account.

3.4 One Account Per User

Each professional account is for a single individual. You may not share your account with others or use it to act on behalf of multiple unrelated persons.

4. Subscription & Billing

4.1 Plans

All prices shown are VAT-inclusive (5% UAE VAT). A separate invoice showing the subtotal and VAT breakdown is generated for each subscription payment.

4.2 Billing

Subscription fees are billed in UAE Dirham (AED) according to the billing frequency you select (monthly or yearly). Paid plans are processed by card through Stripe, our payment processor. You enter your card details directly with Stripe via Stripe Checkout when you subscribe, and you can update your payment method, review invoices, and manage your subscription through the Stripe-hosted billing portal accessible from your dashboard.

By subscribing, you authorize Okood and Stripe to charge your selected payment method for the recurring subscription fee, including applicable taxes, until you cancel. An invoice showing the subtotal and VAT breakdown is generated for each successful payment.

4.3 Renewals

Subscriptions automatically renew at the end of each billing period (monthly or yearly, as selected) and your payment method on file is charged for the next period, unless you cancel before the renewal date. We may send a reminder before a renewal, but renewal does not depend on you receiving or acting on that reminder. You can cancel auto-renewal at any time as described in Section 4.5.

4.4 Upgrades and Downgrades

You may upgrade your plan at any time. An upgrade takes effect immediately and you receive a pro-rata credit for the unused portion of your current billing period, applied toward the new plan cost.

Downgrade requests take effect at the end of your current billing period. If a downgrade would result in your current data exceeding the new plan's limits (e.g., storage or project count), you must resolve those conflicts before the downgrade applies. We will notify you via email if this is the case.

4.5 Cancellation and Grace Period

You may cancel your subscription at any time through the Billing & Subscription settings in your dashboard. How cancellation takes effect depends on your billing frequency:

  • Monthly plans: cancellation stops auto-renewal and your plan remains active until the end of the current billing period. No refund is issued for the current month. When the period ends, your account enters the grace period described below.
  • Yearly plans: cancellation takes effect immediately and we issue a prorated refund for the unused portion of the year to your original payment method via Stripe. Your account then enters the grace period described below.

Once a subscription has ended following cancellation:

  • Your account enters a 30-day grace period.
  • During the grace period, your account is in read-only mode — you can view and export your data but cannot create new projects or upload files.
  • You can re-subscribe at any time during the grace period to restore full access.
  • After the grace period expires, your account and all associated user data are permanently deleted. This cannot be reversed, except for records we are required to retain for legal, security, or compliance purposes.

We recommend exporting your contracts as PDFs and downloading your deliverable files before the grace period ends.

4.6 Refunds

Except for the prorated refund automatically issued when you cancel a yearly plan (see Section 4.5), subscription fees are non-refundable, including for partial periods of use on monthly plans. Additional refunds may be issued at our discretion in cases of billing errors or exceptional circumstances. To request a discretionary refund, contact support@okood.app within 7 days of the charge. Refunds are returned to your original payment method through Stripe.

5. Payment Tracking

Okood's payment feature allows your clients to upload a bank transfer receipt or screenshot as proof of payment. You review this proof and approve or reject it within the platform.

You are responsible for reviewing payment proofs before approval. Okood does not validate, authenticate, or guarantee that any payment proof represents a genuine completed bank transfer. We do not verify the underlying bank transfer on your behalf, and any approval decision remains yours. Okood is not liable for financial loss resulting from the approval of fraudulent payment documentation.

Okood does not hold, receive, transfer, or facilitate the movement of funds between you and your clients. All money transfers occur independently of the platform.

6. Files & Content

6.1 Your Content

You retain all ownership rights to the files you upload to Okood (your creative deliverables, payment proof submissions, etc.). By uploading files, you grant Okood a limited, non-exclusive license to store, process, and serve those files solely for the purpose of operating the Platform on your behalf.

6.2 Storage Limits

Your plan includes a storage quota. If you exceed your storage quota, you will not be able to upload additional files until you either delete existing files or upgrade to a higher plan. Okood reserves the right to pause uploads for accounts significantly exceeding their quota.

6.3 File Delivery and Download Links

Presigned download links for deliverable files expire after a limited time for security. After expiry, a new link must be generated from your project dashboard. Expired links cannot be recovered.

6.4 Content You Are Responsible For

You are solely responsible for all content you upload or create on the Platform. You represent and warrant that:

  • You own or have the necessary rights to all content you upload.
  • Your content does not infringe the intellectual property rights of any third party.
  • Your content does not violate any applicable law.
  • Your content does not contain malware, viruses, or malicious code.

6.5 Prohibited Content

You may not upload or distribute through Okood any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable. Okood reserves the right to remove such content and terminate accounts without notice.

7. Contracts & Electronic Signatures

7.1 Contract Templates

Okood provides professionally written contract templates for photographers, videographers, graphic designers, and content creators as a convenience. These templates are starting points only. Okood makes no warranty that any template is legally enforceable in your jurisdiction or for your specific situation.

7.2 Electronic Signatures

Contracts signed using Okood capture a digital representation of the signer's signature (drawn in the browser) along with a timestamp and session metadata. Electronic signatures may be legally recognized under applicable laws, including UAE Federal Law No. 1 of 2006 (Electronic Commerce and Transactions Law).

The legal weight of an electronic signature varies by jurisdiction, contract type, and the specific evidence captured. Okood does not certify or authenticate signatures through a third-party certification authority. For contracts where a higher standard of authentication is required, you should consult a legal professional.

7.3 Contract Immutability After Sending

Once a contract has been sent to a client, its content is locked to protect both parties. You cannot edit a sent contract. If amendments are needed, a new contract version must be created.

8. Client Portal

As a professional user, you may share a private project portal link with your client. That link provides your client access to view project status, sign contracts, upload payment proof, and download approved deliverables.

You are responsible for sharing this link only with the intended client. Okood is not responsible for unauthorized access resulting from you sharing the link with unintended parties.

Clients who access project portals are subject to these Terms with respect to their use of the portal. By creating a client account, clients acknowledge that their portal access is limited to the specific project for which it was created and will expire upon project completion or account deletion.

9. Prohibited Uses

You may not use Okood to:

  • Engage in any fraudulent activity, including uploading false payment proofs.
  • Circumvent or attempt to circumvent platform security mechanisms.
  • Use the platform for any purpose other than legitimate creative professional services.
  • Violate any applicable laws or regulations.
  • Harvest, scrape, or automate requests to the platform without written permission.
  • Attempt to gain unauthorized access to any account, system, or data on the platform.
  • Upload malware, viruses, or any malicious code.
  • Create accounts for the purpose of spamming clients or circumventing plan limits.
  • Resell, sublicense, or provide platform access to third parties without authorization.
  • Reverse-engineer, decompile, or attempt to extract source code from the platform.

Violation of these prohibitions may result in immediate account termination and, where applicable, referral to law enforcement.

10. Intellectual Property

10.1 Your Content

You retain all intellectual property rights in the content you upload or create on Okood (files, project descriptions, custom contract clauses, etc.). Okood claims no ownership over your content.

10.2 Okood Platform

The Okood platform — including its design, code, trademarks, logos, system contract templates, and all other platform materials — is owned by Okood and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any platform materials without our express written permission.

10.3 System Templates

The system contract templates provided by Okood are licensed to you for use within the platform as part of your subscription. You may customize and use these templates for your client contracts, but you may not copy them for use outside the Okood platform or redistribute them.

11. Limitation of Liability

11.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OKOOD DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OKOOD AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data.
  • Loss of files due to storage failure, accidental deletion, or third-party service disruption.
  • Financial loss resulting from approval of fraudulent payment proofs.
  • Disputes between you and your clients arising from contracts created on the platform.
  • Legal unenforceability of any contract or electronic signature.
  • Unauthorized access to your account resulting from your failure to maintain credential security.

OKOOD'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO OKOOD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11.3 Third-Party Services

Okood relies on third-party infrastructure providers, including Supabase, Cloudflare, Resend, Stripe (payment processing and subscription billing), Sentry (error monitoring), and Vercel. We are not liable for service interruptions, data loss, payment-processing failures, or other failures attributable to these providers. We will, however, endeavor to notify you of significant disruptions as soon as reasonably practicable.

11.4 Data Backup

While Okood takes commercially reasonable steps to protect your data, you are encouraged to maintain your own copies of important documents (e.g., by downloading contract PDFs and deliverable files). Okood does not guarantee data recovery in the event of data loss.

12. Termination

12.1 By You

You may close your account at any time by canceling your subscription and allowing the grace period to expire, or by contacting support@okood.app to request immediate deletion. Account deletion is permanent and irreversible.

12.2 By Okood

We reserve the right to suspend or terminate your account at any time, with or without notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent activity, or if continued provision of service would expose Okood to legal liability.

In cases of violation, we may terminate your account immediately without a grace period. We will endeavor to provide notice and opportunity to export your data except where immediate termination is necessary for security or legal reasons.

12.3 Effect of Termination

Upon termination or expiry of the grace period, all your user data — including projects, contracts, deliverables, payment records, and files stored in Cloudflare R2 — is permanently deleted. Okood has no obligation to retain or provide copies of your data after deletion, except for records we are required to retain for legal, security, or compliance purposes.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the UAE.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. A waiver of any provision shall not constitute a continuing waiver.

14. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will notify you by email and update the "Last updated" date at the top of this page. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

If you do not agree to revised Terms, you must stop using the Platform and may cancel your account before the revised Terms take effect.
